Capital Stack Architecture & Engineering
Capital stacking is the discipline of aligning risk, control, and liquidity.
Independent structuring and decision support for complex, leveraged, and fund-level capital structures.
Designed for funds, sponsors, and platforms where sequencing, leverage, and institutional credibility matter. Our role is independent and non-discretionary. We work alongside sponsors, legal counsel, lenders, and execution teams.
Capital Stack Architecture & Engineering
Capital stacking is not the art of adding layers. It is the discipline of aligning liquidity, risk, control, and timing.
We advise on the design, assessment, and coordination of layered capital structures for funds, SPVs, and operating platforms where leverage, sequencing, and credibility materially affect outcomes.
Our Role
We operate as an independent structuring and decision-support layer. We are engaged where:
capital structures are complex or cross-jurisdictional
leverage materially affects deployment or risk
lender perception, covenants, or sequencing are critical
clarity is required before execution
Clients retain full decision-making authority. Capital provision, underwriting, and execution are carried out by licensed institutions.
What We Design & Coordinate
Depending on mandate, our work may include:
Fund-level financing
(NAV, Sub-lines)
Asset-backed / project
debt structures
Private credit / structured equity
Preferred equity / instruments
FX, liquidity, capital recycling logic
LC & escrows, collateral frameworks
How Capital Is Engineered
Our work follows a phased, repeatable framework aligned to the life cycle of capital deployment.
– Fund & SPV architecture review
– Capital stack gap analysis
– Lender / funder mapping
– Regulatory, reputational, and appetite scan
Outcome: feasibility boundaries and viable structuring pathways.
– Design of fund-level, GP and asset-level facilities
– Credit / leverage logic and capital sequencing
– Blended capital and private credit structures
Outcome: an institutionally legible capital stack.
– Term sheet logic and negotiation support
– Coordination with lenders, counsel, and counterparties
– Structural integration (cap table, covenants, counterparties, regulatory, documentation logic)
Role clarification:
We lead structuring and coordination. Execution is performed by licensed banks and advisers.
Outcome: executable structures aligned with strategy and risk limits.
– Refinancing and capital recycling advisory
– Leverage and liquidity optimisation
– Reporting alignment and monitoring frameworks
– Strategic positioning for future capital events
Responsibility & Boundaries
We do not provide brokerage, placement, or underwriting services; discretionary investment advice nor capital provision or balance-sheet lending. Our responsibility is limited to structural design, coordination, and decision clarity, defined per mandate.
What This Enables
I) Faster deployment with reduced structural risk
II) Lower blended cost of capital
III) Clearer alignment with lenders and LPs
IV) Repeatable financing frameworks across funds and projects
